Our representation involves such matters as negotiating and drafting: organizational documents; shareholders’ and investors’ rights agreements (buy-sell, registration rights, co-sale rights, rights of first refusal, etc.); joint venture, partnership and limited liability company agreements; stock option and equity incentive plans; vendor and customer contracts; employment agreements and non-compete agreements; distributorship agreements; and other business contracts.

We represent buyers and sellers in connection with asset and stock sales, mergers, and other reorganizations, ranging in size from smaller transactions to sophisticated transactions in excess of $100 million.
The firm’s securities practice includes representing private companies in connection with all aspects of the capital markets, including private offerings of equity and debt securities and venture capital financing.
