In both start-up and continuation circumstances, we can assist in the negotiation and preparation of various contracts and corporate documents.  Our representation involves such matters as negotiating and drafting: organizational documents; shareholders’ and investors’ rights agreements (buy-sell, registration rights, co-sale rights, rights of first refusal, etc.); joint venture, partnership and limited liability company agreements; stock option and equity incentive plans; vendor and customer contracts; employment agreements and non-compete agreements; distributorship agreements; and other business contracts.  

Once a business is up and running, we advise our clients in employer/employee issues, business financing and all other matters involved in the ongoing affairs of a business entity.  
We also represent borrowers and lenders in connection with bank and other lender financing, including real estate loans, asset based lending, bridge financing, and receivables financing.

Of particular note is our vast experience in the area of mergers and acquisitions, including representing clients in all aspects of acquiring and selling all types of business entities and addressing business succession issues.  We represent buyers and sellers in connection with asset and stock sales, mergers, and other reorganizations, ranging in size from smaller transactions to sophisticated transactions in excess of $100 million.

The firm’s securities practice includes representing private companies in connection with all aspects of the capital markets, including private offerings of equity and debt securities and venture capital financing.
