Robert Beasley recently represented the seller of a company that provides third-party hardware maintenance and support to IT departments of companies worldwide.
The transaction, valued at over $60 million, involved the negotiation of an asset purchase agreement (including net working capital adjustment provisions and non-compete provisions), roll-over equity documents (including minority interest protections for the roll-over equity holders), lease agreement, escrow agreement, and related documents.
