Robert Beasley recently represented the seller in a sale of a specialized facility services provider. The selling company services over 1,000 locations and employs nearly 800 people. The transaction involved negotiating the asset purchase agreement, roll-over equity provisions in which the selling owners retained an interest in the buyer, employment agreements, non-competes and earn-out provisions.
