Robert C. Beasley

Mr. Beasley practices in the areas of mergers and acquisitions, corporate, corporate finance, lending, real estate, and employment law. 

Mr. Beasley’s practice frequently involves structuring, negotiating and preparing contracts for the acquisition, disposition, merger, financing, reclassification or recapitalization of business entities, partnership and joint venture agreements, private placement memoranda, financing and investing documentation, buy-sell ownership-control agreements, and general corporate documents. 

Mr. Beasley also represents both lenders and borrowers in such commercial loan transactions as asset-based loans, loan workouts and restructurings, project finance transactions, real estate acquisition and development loans, construction loans, mezzanine and subordinated debt facilities, and letter of credit facilities. 

Mr. Beasley also counsels clients with respect to employment matters, including compliance with federal and state statutes and regulations (such as the American with Disabilities Act, Age Discrimination in Employment Act, Family Medical Leave Act), hiring and termination issues, addressing EEOC charges, and addressing non-compete and unfair competition issues.

Mr. Beasley has represented clients in the purchasing and selling of businesses throughout the United States, Canada, and South America.

Representative Experience

Representing seller in an asset sale of an industrial manufacturer having worldwide operations for a purchase price in excess of $60 million

Representing purchasers in a merger transaction involving an oil and gas database target with a purchase price in excess of $50 million

Representing sellers in an asset sale of a distributor in the oil and gas marketplace for purchase price in excess of $60 million

Representing purchasers of assets in transactions with purchase prices ranging from $1 million to in excess of $70 million
